Bylaws of Kings Bay Modelers, Inc.
ARTICLE I: OFFICES
1.1 Address: The address of the registered office of the Corporation is

1.2 Offices: The Corporation shall have offices at such place or places (within or outside the State of Georgia ) as the Board of Directors or officers may from time to time appoint.
ARTICLE II: PURPOSE AND GOALS
2.1 Purpose: To promote advancement and education in modeling, and foster the safe and responsible use of the models, and to operate properly as a Tax Exempt/Non-Profit organization under Section 501(c)(3) of the Internal Revenue Code as an “Educational” entity.
2.2 Goals: The goals of the Kings Bay Modelers are to:
1. Fulfill the clubs purpose and promote advancement in the modeling of Radio Controlled Aircraft and to foster the safe and responsible operation of those models.
2. Share our knowledge with new members and the local community.
3. Organize and sponsor model activities to promote friendly and healthy leisure time activities.
4. Maintain communications with the national organizations to keep our membership informed of new technology and changes in governing rules and regulations.
5. Maintain a communications link with all of our members via email from the club officers as information arises.
6. To exercise any and all powers, rights and privileges which a corporation organized under the Non-Profit Corporation Code of the State of Georgia by law may now or hereafter have or exercise.
ARTICLE III: MEMBERSHIP
3.1. The membership of this club shall consist of individuals of the local or surrounding communities who are of good character, indicate an interest in the building and or safe operation of models, and promoting the advancement and education of modeling..
3.2 There shall be two classes of members; flying and non-flying members. All flying members shall maintain current AMA membership (either Full or Park Pilot) appropriate to the type of aircraft being flown by that member.
3.3. Continued membership is based upon the maintenance of annual dues (see Art VIII), current AMA Membership for Flying members (See item 3.2), and the ability of members to conduct themselves in a proper manner.
ARTICLE IV: MEETINGS
4.1. The club will meet four times per year, normally the first Saturday of February, May, August, and November. Meetings will be held at a time and place determined by a majority vote of the club officers.
ARTICLE V: OFFICERS
5.1. The officers of this club shall be a president, vice president, secretary, treasurer and safety officer.
5.2 The governing body of this club shall be a board of directors composed of the president, vice president, secretary, treasurer, safety officer and additional directors whose numbers shall be determined by this club as necessary.
5.3 The position of webmaster will be known as leader member.
5.4 The board of directors shall have general control over all officers and committees and may, for good cause, declare any office vacant until the time of the next election so long as a currently elected officer assumes the responsibilities of the vacant position.
ARTICLE VI: ELECTIONS
6.1. Elections for the offices of president, vice president, secretary, treasurer, safety officer, and directors shall be held during the November meeting. Nominations of officers and directors shall be made in writing. All nominees will be members in good standing. (see 3.2 & 8.4) Voting shall be by a show of hands by those present who are of good standing. Those candidates receiving a majority of the votes of the members present shall be elected. Those elected shall take office at the time of election.
ARTICLE VII: DUTIES OF OFFICERS
7.1 President Shall preside at all regular and special meetings of the club and the board of directors. He shall, with the approval of the board, fill any vacancies by appointment until the next regular election of the club. He shall be the Leading Official of all committees.
7.2 Vice President Shall succeed to the office of president in the event of the removal of the president for whatever cause, and in the absence of the president, shall preside at all meetings of the club and of the board.
7.3 Secretary Shall maintain all club records. He shall keep minutes of all the meetings of the club and board of director meetings.
7.4 Treasurer Shall have custody of all club funds, maintaining all necessary records and depositing all such funds in a bank approved by the board of directors. He shall report on the club's financial status at each meeting of the club and shall hold all records available for inspection by any club member.
7.5 Safety Officer Shall be responsible for the safe operation of models at all club sites. He has the power to stop any unsafe activity. He is responsible to report all violations to the board of directors and the president in writing. This position is also responsible for Frequency Coordination.
ARTICLE VIII: FEES AND DUES
8.1. The annual dues shall be $50.00 per household. For Seniors who are age 65 or older, the annual dues are $ 40.00.
8.2 If a person desires to join the club, on or after the first of June, then his or her dues for the remainder of that calendar year shall be one half of the normal dues. This applies to First Time Members only.
8.3 For continued membership, dues will be paid by the last day of November. Members who have not paid by this date will be assessed a $5.00 late fee.
8.4 All dues must be paid before a member will be considered in good standing. (also see Art III for good standing)
ARTICLE IX: REIMBURSEMENTS
9.1 Expenditures made for the club by its members, on issues other than regularly occurring expenses, and by other than the club officers, will be proposed and voted on at business meetings. If approved the purchase may then be made. Once the purchase is made, the receipt must then be presented to any club officer who will eventually present it to the Treasurer. Once the receipt is received, reimbursement will be made by the treasurer from the clubs account.
9.2 High Priority Purchases that will need reimbursement and cannot wait until the next meeting, can be proposed to, and approved by at least two of the clubs Officers. The President and the Treasurer will be one of the approving officers.
ARTICLE X: COMMITTEES
10.1 The president shall appoint committees as determined by the club as necessary.
Article XI: YEARLY DOCUMENTATION REQUIREMENTS
11.1 The Kings Bay Modelers are required to complete certain official documentation throughout the year. It will be the responsibility of the elected officers to ensure these are completed at the required time intervals:
a. Corporation Annual Registration Fees – Beginning of New Year. A reminder letter is usually sent to the Treasurer.
b. AMA Charter/Field Insurance/Roster – Expires March 31st of each year. Goal is to send in by Jan 31st.
c. IRS FORM 990-N – The clubs TAX PERIOD is 01 Apr to 29 Mar of each year. The 990-N/e-ostcard must be filed by the 15th day of the 5th month of the end of the tax period. i.e. must be filed by the 15th of August of each year. The clubs Employer Identification Number/ Taxpayer Identification Number (EIN/TIN) is 26-424114.
ARTICLE XII: AMENDMENTS
12.1. These bylaws may be amended by majority vote of the members in good standing who are in attendance at any regular or special meeting of the club, provided notice of intent to call such a vote is given prior to the meeting to the call to change the bylaws. Administrative changes may be made by club officers so long as all officers are notified of, and agree to, those changes.
ARTICLE XIII: ACCEPTANCE OF BYLAWS
13.1. Every member of this club, by their acceptance of membership and continuation thereof, accepts the principles, purpose and goals, and agree to comply with and be bound by the bylaws of this club. No member shall be absolved from the observance of the bylaws on the plea that they had not received a copy of them.
